Join us for an insightful lunch and learn session ... gain critical insights as we delve into managing those controversial and more heavily negotiated representations, and a discussion of current 'market' terms and benchmarks.  In today’s rapidly changing global marketplace, R&W insurance can also offer both buyers and sellers in mergers and acquisitions the additional confidence often needed to close the deal. 

This is the second in a new series of lunch & learn sessions in conjunction with Morgan, Lewis & Bockius that will provide a comprehensive overview of legal documentation in private equity M&A transactions. These programs are an ideal way to learn about both the key attributes of purchase agreements along with the latest issues and developments in private equity M&A transactions, while connecting with fellow alumni who are private equity investors.


JOIN US FEBRUARY 3rd:  This session will offer a deep dive into Reps & Warranties in M&A agreements, and provide the legal and business perspectives on key considerations through various case study examples.


  • Designed for mid-level PE professionals (1 - 5 years post MBA experience) who take a leading role during the due diligence process, including the negotiations between Buyer, Seller and R&W provider.
  • Open to Members & Non-Members (must be investing 3rd party capital in deals).

  • Discussion of representations and warranties in acquisition agreements, with an emphasis on controversial and more heavily negotiated representations, and a discussion of current 'market' terms and benchmarks.

  • Overview of R&W insurance, including benefits of insurance, process in obtaining policies, key policy terms and coverage issues. Also a discussion of current market terms and trends.

About The Series:

The sessions will be presented by a combination
of private equity and M&A professionals who have been involved in negotiating deal terms along with Morgan, Lewis & Bockius partners. The earlier sessions planned will provide a 101 introduction into the key aspects of M&A documentation and the key terms and business considerations associated with these documents. Later sessions will tackle specific topics in more detail, such as representations and warranties, indemnities, and related issues. Legal aspects, latest market trends, and business considerations will be discussed.
